Article I

Constitution and By-laws of the "Internet Metal Detecting Association," hereafter referred to as IMDA.

Note: The IMDA is an Associate Member of the "Federation of Metal Detecting and Archaeological Clubs," also referred to as FMDAC.

Purpose:

1. To support the efforts of the FMDAC in protecting and pursuing our hobby of metal detecting, prospecting, rock, coin and relic collecting.

2. To lobby for our rights to metal detect.

3. To provide members a web site for fellowship and information about the hobby of metal detecting.

Membership requirements:

1. Be of sound mind and pay the FMDAC dues of $5.00 annually if not already an FMDAC member through another club.

Member privileges:

1. To be informed of all IMDA matters.

2. To have access to minutes of the meetings.

3. To voice concerns and submit motions at meetings.

4. To serve as officers or committee members of IMDA, but can only hold one position other than stated elsewhere in the by-laws.

5. To recommend candidates for office.

6. To vote.

 Members responsibilities:

1. Pay dues as specified and in a timely manner.

2. Abide by club rules.

3. Promote IMDA goals and activities.

4. Vote on club business.

5. Accept majority rule.

6. Cooperate with others; offer help when able.

7. Conduct his/herself with honesty and respect for all.

8. Express opinions on policies for club activities in a timely manner.

9. Perform duties volunteered.

10. Adhere to the FMDAC Metal Detecting code of ethics.

Suspension/Dismissal:

1. For IMDA owing dues more than two months late.

2. For flagrant violation of IMDA rules as determined by the IMDA officers.

Reinstatement:

1. Shall be subject to a vote by majority members.

Article II

Officers and Responsibilities:

Note:  Leadership will consist of four elected officers designated as President, Vice-President, Secretary, Treasurer, and one appointed officer designated as 2nd Contact Officer."

President:

1. Will be the spokesperson for The IMDA but can appoint other members to perform this task.

2. Will represent The IMDA before other organizations and act in the best interests of the members.

3. Will be empowered to withdraw committee members and the IMDA Webmaster.  However, the subsequent actions must be put before members for approval. If not by the majority's approval, the committee members/Webmaster will be re-instated.

4. Will be chairperson for all IMDA meetings with full control.

5. Will meet with all officers one week before IMDA chat meetings.

Vice President:

1.  Will fill the chair for the President when absent.

2.  Will assign volunteers for, and head a Membership Committee.

3. Will perform IMDA business tasks for the President from time to time.

Secretary:

1.  Will keep records of all meetings.

2. Provide minutes of each meeting to the Webmaster for publishing to IMDA web site.

3. Will maintain members' records, held in private and for IMDA officer use only.

4. Will keep a record of finance as provided by the Treasurer.

5. Will assign volunteers for, and head a Web Site Committee.

6. Will be the "1st Contact Officer" for The IMDA and will be obligated to keep the officers and members informed of correspondence within a reasonable time.

Treasurer:

1.  Will receive membership dues and maintain a record of paid members, plus keep an accurate record of all IMDA funds, bills, and expenditures.

2.  Will be accountable for all the IMDA funds and will not make expenditures without the approval of the majority.

3.  Will provide a financial report at each meeting.

2nd Contact Officer:

1. Will fill in for the Secretary when unavailable.

2.  Will be an appointed position by the officers.

Article III

IMDA Officers:

1. Will be selected by the Nominating Committee as candidates for office.

2. Will be elected by dues paying members.

Nominating Committee:

1. Will be appointed by the officers.

2. Will be set the 1st day of October and start receiving nominations by the 15th of October. Nominations will end the 15th of November.

3. A Nominating Committee member must step down if accepting a nomination for office, while another member is randomly selected to the Committee.

4. Will report candidates to the Secretary no later than November 21st.

Addendum:

5. The membership will have until December 1st to review each candidate.

6. The Secretary will give notice of vote no later than December 4th.

7. Voting will begin December 5th and end December 12th.

8. Candidates with the most votes win; a tie will be broken by officer vote.

9. The secretary will give notice of the results no later than December 15th.

 
Term of IMDA officers:

1. Officers will take office January 5th and leave office January 5th of the following year.

2. Officers may be re-elected the following year.

3. Early departing officers will be replaced by the next descending position, if desired, except the Treasurer's.  Existing officers will temporarily appoint the open office.

Article IV:

Chat Meetings:

1. Will be run by the President.

2. Will only deal with one motion or suggestion at a time.

3. Will be conducted in fairness and "good faith."

 The Vote:

1. Will be cast by reply E-mail to the Secretary.

2. The majority will be 51% of those voting.

3. Tie votes will be broken by officers vote.

4. Paid up dues are required to vote.

5. Potential officers need not receive 51% or more of the votes to win because of the number of possible candidates. Candidates receiving the most votes are elected.

Other member rights:

1. All members will have the right to be heard.

2. Any grievance or question must be submitted to the officers to settle. If need be, it will be put to a vote by the members.

IMDA Chat Meetings:

1. Will be the first Monday of every month. The set time will be 9:00 P.M. EST.

2. Special chat meetings may be called by the president providing notice is given is given 7 days before prior to the meeting.

Article V

IMDA Web Committee:

1. Will consist of all Association Officers including the Webmaster.

2. Will insure the quality of the IMDA Web Site and meet the satisfaction of the majority of the members.

3. Will be empowered to modify the Web Site. However, the subsequent actions may be put before the members for approval. If not by the majority's approval, the modifications will be revised.

4. Will receive and respond to comments, questions or suggestions about the Web Site.

IMDA Web Site:

1. Is a means of information, enjoyment and support for all its members and visitors.

2. The IMDA Business Forum and Chat Room are for IMDA members posting only and are the primary locations for IMDA business. Any non-member post will be subject to deletion by the Web Committee.

3. Members' personal home pages may be submitted to Web Committee for addition to the Web Site.

Webmaster:

1. Will be appointed by majority vote of the members and can be removed by them.

2. Will be an ongoing position and voted on only when vacated.

3. May use his/her skills to add things to the site, however the membership will have final say.

Article VI

Amending the IMDA By-laws:

1. Majority votes of the IMDA officers are subject to simple ratification by the IMDA members.

Dissolution:

1. The IMDA may be dissolved by a majority vote of the members.

2. Disposition of any remaining IMDA funds shall be recommended by the officers of the IMDA. This is subject to the vote of the members.
